Item 2, Management's Discussion and Analysis of Financial Condition and Results of Operations
Protolabs — Q3 and nine months ended September 30, 2026
Protolabs’ revenue growth outpaced its decline in customer contacts, reflecting higher revenue per contact and a strategic shift toward larger customers. U.S. aerospace and defense demand was a notable source of strength. Gross margin fell in Q3 as personnel, materials and production costs rose, but expanded for the first nine months as cost of revenue grew more slowly than sales.

Revenue by geography
All figures in $M.
| Geography | Q3 2026 | Q3 2025 | 9M 2026 | 9M 2025 |
|---|---|---|---|---|
| United States | 125.412 | 109.361 | 360.298 | 320.340 |

Customers, costs and investment
| Operating metric | Q3 2026 | Q3 2025 | 9M 2026 | 9M 2025 |
|---|---|---|---|---|
| Customer contacts | 20,777 | 21,252 | 40,129 | 41,873 |
| Revenue per customer contact | $7,427 | $6,370 | $11,039 | $9,472 |
Customer contacts fell 2.2% in Q3 and 4.2% for 9M, while revenue per contact rose 16.6% and 16.5%, respectively. Management attributed the shift primarily to customer mix and its focus on larger, more strategic accounts.
Q3 cost of revenue rose 15.6%, faster than sales, contributing to the margin decline. It included $5.4M of higher personnel and related costs, $4.8M of higher raw-material and production costs, and $1.4M of higher equipment and facility costs. Across 9M, cost of revenue rose 9.8%, with increases of $10.4M in personnel and related costs, $9.9M in raw materials and production costs, and $1.2M in equipment and facility costs.
Q3 marketing and sales expense was $24.528M versus $24.574M; R&D was $11.019M versus $10.705M; and G&A was $18.241M versus $17.163M. Restructuring and transformation expense was $0.434M in Q3 and $2.779M for 9M, versus none in the comparable 2025 periods. The 9M effective tax rate declined to 27.7% from 33.5%, mainly due to geographic mix shifting toward lower-tax jurisdictions and strong domestic pretax income. The Q3 rate fell to 27.4% from 29.6%, primarily due to an operating-rate catch-up credit, partly offset by reduced excess stock-compensation tax benefits.
Cash flow and liquidity
All figures in $M; 9M periods.
| Cash flow item | 9M 2026 | 9M 2025 |
|---|---|---|
| Operating cash flow | 55.746 | 58.053 |
| Investing cash flow | (24.292) | (7.804) |
| Financing cash flow | (8.297) | (35.887) |
| Net purchases of property, equipment and other capital assets | 14.3 | 6.0 |
| Net purchases of marketable securities | 10.0 | 1.8 |
Operating cash flow declined despite higher net income: a $17.1M year-over-year decrease in cash contribution from operating assets, liabilities and other items more than offset the $13.8M increase in net income. Financing outflow included $10.0M of common-stock repurchases and $6.1M of shares withheld for taxes, partly offset by $8.0M of equity-plan proceeds. The prior-year period included $36.7M of repurchases.
Cash and cash equivalents were $133.8M at September 30, 2026, up $23.0M from year-end 2025. The company expects existing cash and operating cash generation to cover working-capital and capital-expenditure needs for at least 12 months.
Management’s priorities include customer experience, innovation, production capacity and operational efficiency. It is redeploying restructuring savings into technology, automation, core systems and digital capabilities, and applying AI in pricing and sourcing, inspection, CNC toolpath verification and software development. Key sensitivities include labor and raw-material costs, production capacity and mix, pricing, manufacturing partners and foreign exchange.
Item 3, Quantitative and Qualitative Disclosures About Market Risk
Foreign-currency risk
Protolabs has unhedged foreign-currency exposure from its international operations. Revenue, production and sourcing costs, and operating expenses are primarily denominated in British pounds and euros. A stronger U.S. dollar generally harms operating results and cash flows; a stronger pound relative to the euro also has an adverse effect. Management expects exposure to increase with international expansion. A hypothetical 10% adverse exchange-rate move is not expected to materially affect financial position, but could materially affect operating results.
| Foreign-currency result | Q3 2026 | Q3 2025 | 9M 2026 | 9M 2025 |
|---|---|---|---|---|
| Foreign-currency gain/(loss) | $(0.2)M | Gain of less than $0.1M | $(0.2)M | Gain of $0.5M |
Exchange-rate changes had an unfavorable $0.3M impact on consolidated revenue in Q3 2026 versus Q3 2025, but a favorable $2.3M impact in 9M 2026 versus 9M 2025.
Item 4, Controls and Procedures
Management, including the CEO and CFO, concluded that disclosure controls and procedures were effective as of quarter-end and provided reasonable assurance that required information was processed and reported on time and communicated to support timely disclosure decisions. No changes during the quarter materially affected, or were reasonably likely to materially affect, internal control over financial reporting.
