Net income also benefited from non-operating gains: the company reported a $513M net gain on equity securities, including a $512M unrealized gain on its publicly traded Nanya Technology investment. Interest expense was $2M versus $40M.

Datacenter $4.802 $0.269
Edge $5.832 $1.387
Consumer $0.397 $0.652

The company operates as one reportable segment. Segment revenue was $11.031B versus $2.308B, and segment operating income was $8.780B versus $176M. Datacenter and Edge drove the revenue surge; Consumer revenue declined.

Cash flow, liquidity and balance sheet

$ billions, except capex Q1 FY2027 Q1 FY2026
Net cash provided by operating activities $6.363 $0.488
Capital expenditures (purchases of PP&E) $0.054 $0.050

Operating cash flow included $1.877B used for accounts receivable and $318M used for inventory, partly offset by $403M from income taxes payable and $287M from contract liabilities. Financing activities used $5.755B, including $5.000B of share repurchases and $755M of taxes paid on vested stock awards. Cash increased $374M to $5.136B.

$ billions October 2, 2026 July 3, 2026
Total assets $25.793 $22.507
Total shareholders’ equity $18.134 $15.736
Goodwill $4.995 $4.994
Intangible assets other than goodwill Not separately presented Not separately presented
Cash $5.136 $4.762
Net accounts receivable $6.585 $4.708
Inventory $3.016 $2.698
Total liabilities $7.659 $6.771

Two customers each represented 12% of quarterly revenue; no customer exceeded 10% in the prior-year quarter. Three customers accounted for approximately 16%, 15% and 11% of receivables, indicating collection exposure to customer concentration. Goodwill was not impaired. The $2.0B term loan was repaid in March 2026; the $1.5B revolving facility was undrawn and fully available. A September amendment extended its maturity to September 2031 and reduced borrowing margins and the commitment fee. Sandisk reported covenant compliance.

Customer commitments, manufacturing and other exposures

Remaining performance obligations were $88.9B, entirely related to New Business Models (NBMs), comprising $87.4B unbilled and $1.5B recorded as contract liabilities; about 20% is expected to be recognized within 12 months. Contract liabilities rose from $1.2B, with $281M of the opening balance recognized as revenue during the quarter. Refund liabilities, primarily refundable NBM security deposits, were $1.6B. Customers had $12.8B of collateral issued or held at third-party financial institutions. It is off-balance-sheet because Sandisk lacks control and access except in specified default or breach circumstances.

Sandisk sources substantially all flash-based memory wafers through Kioxia joint ventures (Flash Ventures), generally taking 50% of output and bearing half of fixed costs. Binding, non-cancelable wafer orders cover up to three months; pricing depends on future production costs, so commitments beyond that period cannot be estimated. Sandisk extended venture terms through 2034 and agreed to pay Kioxia $1.2B over 2026–2029 for manufacturing services and continued supply availability. Remaining long-term supplier commitments were $6.794B, including $1.408B for the rest of FY2027 and $1.986B in FY2028.

Sandisk’s maximum reasonably estimable Flash Ventures loss exposure was $2.944B: $727M notes receivable, $100M equity investments, $838M operating-lease guarantees and $1.279B inventory and prepayments. Separate from that exposure, $835M of prior facility prepayments remained to be credited against future depreciation, and $459M of additional prepayments were committed through FY2035. A cancellation event could accelerate venture obligations and trigger guarantees.

Under the SDSS supply agreement, which runs through September 2029, Sandisk has a $550M minimum annual purchase commitment and could face shortfall penalties. Sandisk also retained a 20% SDSS interest valued at $168M; $103M of sale consideration remained recorded at present value. Products distributed through its 48%-owned Unis Venture represented 0.4% of revenue, down from 1.3%.

Capital returns, compensation and subsequent event

Sandisk repurchased approximately 3M shares for $5.0B. It had authorized $20.0B of repurchases cumulatively, with $10.5B remaining available. Period-end common shares outstanding declined from 146M at July 3 to 144M at October 2; weighted-average basic and diluted shares were 146M and 154M, versus 146M and 149M.

Stock-based compensation expense was $91M versus $53M. Unamortized compensation cost was $1.350B, including $1.298B for RSUs/PSUs. Outstanding RSUs and PSUs declined to 5.7M from 6.6M; PSU terms allow up to 300% of target, with 1M granted awards potentially producing 4M shares at maximum performance.

The effective tax rate was 13% versus 10%; both periods’ rates below the U.S. statutory rate mainly reflected jurisdictional earnings mix and Malaysian tax credits and holidays. Pillar Two taxes applied in Q1 FY2027. Unrecognized tax benefits were $350M, up from $323M at July 3. On October 29, 2026, the Board approved an 8-for-1 forward stock split, expected to begin trading on a split-adjusted basis November 20.

Item 2, Management's Discussion and Analysis of Financial Condition and Results of Operations

SNDK — Part I, Item 2: Q1 FY2027

Results

The quarter ended October 2, 2026, was 13 weeks, compared with 14 weeks in Q1 FY2026. Results reflected a sharp shift toward AI-related Datacenter and Edge demand, higher pricing, and substantially improved profitability and operating cash generation.

Consolidated results Q1 FY2027 Q1 FY2026
Revenue $11.031B $2.308B
Cost of revenue $1.653B $1.621B
Gross profit $9.378B $687M
Gross margin 85.0% 29.8%
Operating expenses $598M $511M
Operating income $8.780B $176M
Interest and other income (expense), net $539M $(52)M
Interest expense $2M $40M
Income before taxes $9.319B $124M
Income tax expense $1.218B $12M
Net income $8.101B $112M

Revenue increased 378%, while gross margin expanded by approximately 5,500 basis points. Higher pricing and favorable product mix drove the improvement. Operating expenses rose 17%; R&D was $384M versus $316M and SG&A was $214M versus $179M. R&D’s $68M increase included higher compensation and benefits, internal-use software and services, and stock-based compensation. SG&A’s $35M increase reflected higher stock-based compensation and compensation costs, partly offset by lower materials costs. The latter reflected fewer free product samples and sales of certain customer qualification units, whose costs are recognized in cost of revenue when sold.

Revenue mix and demand

Revenue category Q1 FY2027 Q1 FY2026
Datacenter $4.802B $269M
Edge $5.832B $1.387B
Consumer $397M $652M

Datacenter revenue rose 1,685%: exabyte volume increased almost 330% and revenue per gigabyte almost 320%. Edge revenue rose 320%, primarily on revenue per gigabyte more than 450% higher, partly offset by a 20% decline in exabytes sold. Consumer revenue fell 39% as exabytes sold declined more than 70%, partly offset by revenue per gigabyte more than 110% higher. Total product volume increased almost 10% on an exabyte basis. Sales incentive and marketing programs were 9% of gross revenue, down from 16%; these programs reduce reported revenue and vary with market and channel conditions.

Geographic revenue Q1 FY2027 Q1 FY2026
Asia $7.216B $1.515B
Americas $3.257B $406M
Europe, Middle East and Africa $558M $387M

Management attributes demand growth to rapid AI-infrastructure expansion and expects AI-driven demand to persist through calendar 2027 and beyond. Since the second half of FY2026, the company has entered multi-year New Business Model agreements with several Datacenter and Edge customers. These agreements generally specify purchase and delivery volumes and use fixed and variable pricing and financial guarantees. Management expects them to improve revenue predictability, production planning, and supply assurance, while noting they do not eliminate demand, market, or execution risks. Pending U.S. Section 232 and Section 301 investigations create tariff uncertainty: most products sold in the U.S. are currently exempt, but higher tariffs or loss of exemptions could increase costs and pressure margins; passing costs through could weaken demand.

Cash flow, liquidity and capital allocation

Cash flow and investment Q1 FY2027 Q1 FY2026
Operating cash flow $6.363B $488M
Investing cash flow $(238)M $(15)M
Financing cash flow $(5.755)B $(515)M
Capital expenditures $54M $50M
Change in cash and cash equivalents $374M increase $39M decrease

The quarter’s financing outflow included $5.0B of common-stock repurchases and $755M of taxes paid on vested stock awards. The company repurchased approximately 3 million shares for $5.0B. Following repurchase authorizations of $6.0B on April 30, 2026 and an additional $14.0B on August 5, $10.5B remained available at quarter-end. Repurchases are discretionary and may be suspended or discontinued. Investing activity included $148M of net issuances related to Flash Ventures, $70M of short-term investment purchases, and $34M of proceeds from selling a majority interest in a subsidiary.

Cash and cash equivalents held outside the U.S. were $2.1B, compared with $626M a year earlier; the company reports no material unaccrued tax consequences from repatriation. Cash equivalents are primarily money market funds invested in U.S. Treasuries and government agency securities. Management expects cash and cash equivalents, with potential access to capital markets, to cover working capital, capital expenditures, and share repurchases.

Net cash used by changes in operating assets and liabilities was $1.3B, versus $250M provided in the year-ago quarter, reflecting increased business volume. The cash conversion cycle lengthened to 149 days from 113: DSO was 54 days versus 51, inventory days were 166 versus 115, and payable days were (71) versus (53). The inventory build was primarily to meet demand; DSO rose amid higher revenue and continued strong collections, while the increase in payable days was mainly due to routine purchasing and payment timing.

Debt, commitments and other exposures

The $2.0B Term Loan B, borrowed at separation in February 2025, was repaid in full with cash on hand on March 4, 2026; the company also paid accrued interest and recorded a debt-extinguishment loss from writing off unamortized issuance costs. The loan proceeds had included $1.5B used for a net distribution to WDC. Interest expense declined following repayment. The $1.5B revolving credit facility was amended September 9, 2026, extending maturity from February 21, 2030 to September 9, 2031 and modifying interest provisions. No revolver borrowings were outstanding, and the company was compliant with its maximum leverage-ratio covenant. The annual fee on undrawn commitments is 0.175%, subject to leverage and rating adjustments.

Material cash requirements totaled $13.066B:

Commitment Total Remaining FY2027 2028–2029 2030–2031 Beyond 2031
Flash Ventures $7.141B $2.481B $2.975B $1.504B $181M
Purchase obligations and other commitments $5.628B $1.191B $3.721B $716M —
Operating leases $297M $28M $57M $46M $166M

Purchase obligations include purchases of transferable tax credits intended to offset tax liabilities. Flash commitments include equipment, facility, financing, R&D, and Kioxia supply-related obligations. Lease obligations at Flash Ventures are partly guaranteed by the company; acceleration after a cancellation event could trigger a call on the guarantees. The company was compliant with Japanese lease-facility covenants.

Unrecognized tax benefits, excluding accrued interest and penalties, were approximately $350M, of which about $333M could result in cash payments. Accrued interest and penalties were $17M, versus $16M at July 3, 2026; the remaining tax-indemnification liability to WDC was $132M. Customer advances recorded as contract liabilities were $1.5B at quarter-end and primarily relate to remaining performance obligations.

The $513M net gain on the Nanya Technology equity investment was the primary reason interest and other income, net, improved; there was no comparable-year activity. Management cautions that tax rates and foreign R&D capitalization rules under the One Big Beautiful Bill Act may materially affect the effective tax rate and operating cash flows in FY2027 and later. Pillar Two taxes apply in most operating jurisdictions, and Malaysian tax holidays expire at various dates from 2028 through 2031. The company uses foreign-exchange contracts to hedge exposures, and reported no material changes to critical accounting estimates or policies since its FY2026 Form 10-K.

Item 3, Quantitative and Qualitative Disclosures About Market Risk

Market risk

At October 2, 2026, SNDK held $2.3B of fair-value Nanya equity securities traded on the Taiwan Stock Exchange. The position was generally unhedged; a hypothetical 10% decline in the market price would reduce its aggregate fair value by $229M.

Most SNDK transactions are denominated in U.S. dollars. The company uses short-term foreign-exchange contracts, generally maturing within 12 months, to hedge selected foreign-currency assets and liabilities, product-cost commitments, and operating expenses—not for speculation or trading. A hypothetical 10% adverse currency movement against the U.S. dollar would result in a $22M fair-value loss on derivatives at October 2, 2026. Net realized and unrealized transaction and FX-contract currency losses were $7M in the three months ended October 2, 2026, compared with $3M in the three months ended October 3, 2025.

The hedge program does not cover all exposures and may not provide adequate protection. Its effectiveness depends on business, market, and global economic conditions, and SNDK may change or discontinue its hedging activities.

Item 4, Controls and Procedures

Disclosure Controls and Internal Control

Management, including the CEO and CFO, concluded that the company’s disclosure controls and procedures were effective as of the end of the quarter. No changes in internal control over financial reporting during the quarter materially affected, or were reasonably likely to materially affect, those controls.

Part II Item 1A, Risk Factors

Risk factors: SNDK reported no material changes to the risk factors disclosed in its Form 10-K for the year ended July 3, 2026, filed August 17, 2026. The company cautions that risks not currently known or considered material could still adversely affect its business, financial condition, results of operations, or common-stock price. This section presents no new financial metrics or strategic developments.

Part II Item 5, Other Information

For the three months ended October 2, 2026, no Sandisk officers or directors adopted or terminated Rule 10b5-1 trading plans, except the Sandra Eng-Caulfield Revocable Trust, a revocable trust of director Thomas Caulfield’s spouse. The trust adopted a plan on August 27, 2026, allowing sales of up to 4,000 shares of Sandisk common stock through August 31, 2027, when the plan expires.

This section reports no financial results or other business developments.
